Welcome to Innecto Digital. By continuing to browse and use this website (Innecto Digital), you agree to comply with, and be bound by, the following terms and conditions of use (the Terms). These Terms, together with the Innecto Digital End User Licence Agreement (EULA) govern our relationship with you (the User) in relation to Innecto Digital. By using it, you confirm that you accept these Terms. If you do not agree to the Terms, please do not access or use Innecto Digital.

We may update these Terms at any time. Changes are effective as soon as they are published on Innecto Digital. You agree to review the Terms regularly to ensure you are aware of any changes to them and by continuing to use Innecto Digital you agree to be bound by the revised Terms.

1. definitions

In these Terms we use the following specific definitions:

  • Authorised User: an employee, agents and independent contractors of an Employer who is authorised by said Employer to use Innecto Digital and does so on the Employer's behalf.
  • Data: means any personal Data, as defined by the Data Protection Act 2018;
  • DPA: means the Data Protection Act 2018, the UK regulations governing how organisations such as us must treat Data that we collect;
  • GDPR: means the General Data Protection Regulation (Regulation EU) 2016/679, the regulations governing how organisations such as us must treat Data that we collect from and including 25 May 2018;
  • Innecto Digital: means this website operated by us for the purposes of providing our services;
  • Policy: means the Privacy Policy, as amended from time to time on Innecto Digital;
  • We/Us/Our: means Innecto People Consulting Limited, our company, which is registered in England and Wales under company number 4741738. Our registered address is John Ormond House, 899 Silbury Boulevard, Milton Keynes, MK9 3XL, 01908605000; and
  • You/Your: means you as a user of Innecto Digital (including as an Authorised User)
  • Employer: means an entity that has entered into a License Agreement with the Innecto Digital for the use of Innecto Digital.

2. general terms

2.1 Innecto Digital Access

As a user, you need to register with us in order to use Innecto Digital. If you register, we will provide you with secure login details including a username and password, which you can change at any time. It is your responsibility to ensure these details are kept safe and confidential, and that you do not provide access to your account to unauthorised individuals. We will not be held responsible for any issues arising from unauthorised access to secure areas of Innecto Digital if you breach these Terms.

If you know or suspect anyone other than you knows your username or password, please notify us as soon as possible. Our contact details are at section 5 of these Terms.

Unfortunately, the internet is not a secure medium and privacy cannot be fully assured. We therefore do not accept responsibility for any harm or damage you may experience or incur by sending and/or downloading personal or confidential information to us over the internet or if we send you such information at your request.

We have the right to suspend your account and suspend or disable any username or password, if we believe you have failed to comply with any of the provisions of these Terms or we are concerned that unauthorised use is being made of your account.

2.2  User-provided Data

This section 2.2 does not apply to the Data provided by you if you are using Innecto Digital as an Authorised User.

We will treat any Data that you send to us via Innecto Digital as confidential. You grant us a licence to use, store, copy and process any Data that you provide to us for the purpose of providing Innecto Digital. For more details please see our Privacy Policy and Data Protection Policy below.

Any Data you provide to us must be accurate and comply with relevant law in England and Wales and in any country from which it is uploaded. When using Innecto Digital you shall not upload or otherwise contribute any Data:

  1. For which you have not obtained all necessary consents;
  2. Which is harmful in nature including, and without limitation, computer viruses, Trojan horses, corrupted Data, or other potentially harmful software or Data; and
  3. Which is likely to deceive or which is used to impersonate any person, or to misrepresent your identity or affiliation with any person.

You warrant that any Data provided complies with these standards and you agree to indemnify (reimburse) us and keep us indemnified for any liability which we may incur as a result of the Data not complying with these standards.

We will not be liable to any third party, for the content or accuracy of any Data provided by you. We will also fully co-operate with any law enforcement authorities or court order requiring us to disclose the identity or other details of any person posting Data to Innecto Digital in breach of these Terms.

2.2  Innecto Digital Performance

All reasonable measures are taken by us to ensure Innecto Digital is operational all day, every day. However, occasionally technical issues may result in some downtime. Where possible, we try to give advance warning of maintenance issues that may result in downtime, but we are not obliged to provide such notice. Accordingly we will not be liable to you if it is unavailable at any time.

2.3  Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in Innecto Digital and all design, text, pictures, graphics (and the selection and arrangement of them), software compilations, coding, underlying source code, software and all other material on Innecto Digital. All such rights are reserved.

You must not use for commercial purposes any part of the content provided on Innecto Digital without obtaining a licence to do so from us or our licensors.

Infringement of any rights in Innecto Digital or the content associated with it may lead to criminal and/or civil sanctions in England and Wales, the US and other countries.

If you believe that any content on Innecto Digital in any way infringes intellectual property rights belonging to you or any third party, please contact us immediately identifying your rights and the content you claim is infringing your rights.

2.4  Viruses

Please note that there are inherent risks in communication via the internet and although we will use our reasonable endeavours to prevent contamination of any material sent to you or accessed by you with any virus or similar destructive code, we do not guarantee that Innecto Digital will be secure or free from viruses, bugs or similar destructive programs or code.

We do not, to the maximum extent permitted by law, accept any liability for any virus or similar destructive code which any computer equipment and/or software used by you may suffer as a result of your accessing Innecto Digital and/or any other communication via the internet between you and us. It is your responsibility to scan what you download or receive from Innecto Digital to ensure that it is free of such items as viruses, worms, Trojan horses, logic bombs and other similar destructive code.

You must not introduce any viruses, worms, Trojan horses, logic bombs or other similar destructive code or malicious material to Innecto Digital. You must not attempt to gain unauthorised access to Innecto Digital, the servers on which it is stored or any server, computer or Database connected to Innecto Digital, nor attack Innecto Digital using a Denial of Service attack or a Distributed Denial of Service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990.

2.5  Exclusion Of Liability

Nothing in these Terms of use shall exclude or limit liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation, which cannot be excluded under the law of the United Kingdom.

We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise that was unforeseeable to us at the time you used Innecto Digital. We will also not be liable for any direct or indirect costs and/or loss of income, such as, but not limited to:

  1. Loss of profits, sales, business or revenue;
  2. Loss of Data;
  3. Loss or damage to property;
  4. Business interruption;
  5. Loss of anticipated savings;
  6. Loss of business opportunity, goodwill or reputation; and
  7. Any indirect or consequential loss or damage.

If you breach these Terms and we choose not to take immediate action, this does not mean that we waive our rights and remedies and we will still be entitled to pursue such rights and remedies at a later date or in any other situation where you breach these Terms. We acknowledge that if you are an Authorised User we will pursue rights and remedies against your Employer.

3. privacy policy

We take privacy seriously and want you to be confident that any information you provide will be treated fairly and in accordance with the relevant laws of England and Wales. This Policy explains how we collect, use, process, maintain and disclose Data which you provide to us. It applies to Innecto Digital and the PayLab services offered by us. It also outlines your and our obligations. We will treat all Data that you supply respectfully and in accordance with the DPA or the GDPR, whichever is in force

3.1  Personal Data

We may collect Data from you in a variety of ways, including (but not limited to) when you:

  • Visit Innecto Digital; and
  • Register on Innecto Digital;
  • Upload/download Data for the purposes of using the PayLab services; and
  • Export data for use with third parties.

You may be asked for Data such as name, email address, salary, postal address and phone number. This Data may relate to you or other individuals. We will only collect Data from you if you voluntarily provide it to us. You can refuse to supply Data, although it may stop you from being able to use certain Innecto Digital functionality. We acknowledge that if you are an Authorised User you will be providing Data on behalf of your Employer.

We may also disclose Data to third parties (in accordance with the DPA or the GDPR, whichever is in force) that we work closely with for the purposes set out in this Policy. These third parties include the following:

  • Sub-contractors in technical, payment and delivery services; and
  • analytics providers.

Unless you are using Innecto Digital as an Authorised User, You confirm that:

  • Any individual whose Data you have provided to us has agreed to the use and disclosure of that Data or that you are otherwise entitled to provide it to us in accordance with the DPA; and
  • If you are a business, you are registered under the DPA as a Data controller and that your registration covers the processing and transfer of Data in accordance with this Policy.

You provide any Data requested at your own risk. Your Data will be kept private and stored securely until it the earliest of: (i) is no longer required, (ii) has no use, or (iii) the expiration or termination of an applicable Licence Agreement.

3.2  Non-Personal Identification Information

We may collect non-personal identification information (where personally identifiable information is defined by the DPA or GDPR, whichever is in force) about you whenever you interact with Innecto Digital. Non-personal identification information may include the browser name, the type of computer and technical information about how you connect to Innecto Digital, such as the operating system, the internet service providers used and other similar information.

3.3  How We Use Data We Collect

We may collect and use Data for the following purposes:

  • Populating Innecto Digital to allow us to analyse the data;
  • Analysing the Data to allow us to provide information and advice as part of the Innecto Digital services;
  • Providing you with the ability to view, analyse, report on and/or download information from the Innecto Digital service.

3.4  How We Protect Your Information

We use up-to-date Data collection, storage and processing practices. We also use robust security measures to protect against unauthorised access, alteration, disclosure or destruction of Data, username, password, transaction information and Data stored on Innecto Digital.

Data exchanged between you and us via Innecto Digital happens over an SSL (Secure Sockets Later) secured communication channel and is encrypted and protected with digital signatures.

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect Data, we cannot guarantee the security of Data transmitted to Innecto Digital and any transmission is at your own risk. Once we have received Data, we will use robust security features to try to prevent unauthorised access.

3.5  Sharing Personal Information

We do not sell, trade or rent Data to others. We may share generic, aggregated demographic information not linked to any Data regarding visitors and you with our business partners and trusted affiliates for the purposes outlined at 3.2 above.

We may use third-party service providers to help us operate our business and Innecto Digital or administer activities on our behalf or for the purposes we use Data as described in this Policy. We may share Data with these third parties for those limited purposes. We will NOT use your Data for marketing purposes.

What Are Cookies?

Cookies are tiny files, downloaded to your computer which are used to improve your experience when you use Innecto Digital. This section describes what information they gather, how we use it and why we sometimes need to store these cookies. We will also share how you can stop these cookies from being stored; however, this may limit your access to some of Innecto Digital’s functionality.

4.2  How are Cookies Used?

In common with most professional websites, we use cookies to:

  • Measure visitors to Innecto Digital and gauge the popularity of different pages;
  • Remember your preferences and actions, to improve your experience on Innecto Digital; and
  • Display your account information when you’re logged in.

4.3  The Cookies We Use

We use cookies as follows:

  • If you create a user account with us, we use cookies for managing the sign-up process and administration. These cookies will usually be deleted when you log out, but in some cases we may store them longer to remember your preferences for subsequent visits;
  • We use cookies when you’re logged in to prevent you from having to log in every single time you visit a new page on Innecto Digital. These cookies are typically removed or cleared when you log out to ensure only you can access your account; and
  • To provide you with a great experience on Innecto Digital, we may allow you to choose how Innecto Digital runs when you use it. We may need to set cookies to remember your choices.

4.3  Third-party Cookies

In some special cases, we also use cookies provided by trusted third parties.

Innecto Digital uses Google Analytics – one of the most widespread and trusted analytics solutions on the web – to help us understand how visitors use Innecto Digital. Cookies set by Google Analytics or similar third parties may track how long visitors spend on Innecto Digital and the pages which are most visited so we can continue to produce interesting and valuable content.

4.4  Disabling Cookies

You can disable cookies by adjusting the settings on your browser (see your browser’s help information for how to do this). However, disabling cookies may affect essential features of Innecto Digital, and you may not be able to access all or part of Innecto Digital.

5. legal

These Terms of use are governed by the laws of England and Wales. Any dispute arising in connection with these Terms of use shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
